These Terms of Service (“Terms”) govern access to and use of the Velocity Learning Management Ecosystem (“VLME”), operated by Jones Software Corporation (“JSC,” “we,” “our,” or “us”).

By accessing or using VLME, you agree to be bound by these Terms.

  1. Acceptance of Terms

By accessing or using VLME, you agree to these Terms and all incorporated policies, including the VLME Privacy Policy located at:

If you are using VLME on behalf of an organization, you represent that you are authorized to bind that organization.

  1. Eligibility and Accounts
  • Authorized Users: Educators, students, institutional administrators, corporate clients, and partners
  • Accuracy: You must provide accurate and current information
  • Account Security: You are responsible for safeguarding credentials
  • Institutional Tenants: Education deployments are provisioned through Azure Active Directory or equivalent identity systems
  1. Acceptable Use

You may use VLME only for lawful educational or business purposes.

You agree not to:

  • Reverse engineer or copy the platform
  • Upload unlawful, harmful, or infringing content
  • Circumvent security controls
  • Misuse AI features or impersonate others

Violations may result in suspension or termination.

  1. Subscriptions and Payments
  • Pricing and billing terms are defined in your order form, Microsoft Marketplace listing, or reseller agreement
  • Subscriptions typically auto-renew unless otherwise stated
  • Payments may be processed through Microsoft CommerceTD SYNNEX, or other authorized resellers
  1. Data Ownership and Confidentiality
  • Customers retain ownership of their data
  • JSC processes data solely to provide and improve VLME
  • Each party agrees to protect confidential information using reasonable safeguards
  1. Privacy and Security

Use of VLME is governed by the VLME Privacy Policy.
JSC maintains administrative, technical, and physical safeguards aligned with SOC 2 Type IIISO 27001, and Microsoft Marketplace requirements.

  1. Intellectual Property

VLME, including all software, documentation, and AI workflows, is the intellectual property of Jones Software Corporation.
No rights are granted except as expressly stated.

  1. FERPA and Educational Use

When VLME is used by educational institutions:

  • JSC acts as a school official under FERPA
  • Student data is used solely to provide educational services
  • Student data is not sold, monetized, or used for advertising
  1. AI and Automated Processing

VLME includes AI-enabled features powered by Microsoft Fabric and Azure OpenAI.

  • Human-in-the-loop oversight is maintained
  • No personal data is used to train foundation models
  • No automated decision produces legal or similarly significant effects
  1. Third-Party Services

VLME integrates with third-party services (e.g., Microsoft, Intel, Google).
Use of such services is subject to their respective terms. JSC is not responsible for third-party outages beyond reasonable control.

  1. Termination

JSC may suspend or terminate access for breach, non-payment, or security risk.
Upon termination, customer data may be exported for 30 days and then deleted or anonymized per policy.

  1. Disclaimers

VLME is provided “as is” and “as available.”
JSC disclaims all implied warranties to the extent permitted by law.

  1. Limitation of Liability

To the maximum extent permitted by law, JSC’s total liability shall not exceed the fees paid for VLME in the prior 12 months.

  1. Indemnification

You agree to indemnify and hold harmless JSC from claims arising from your use of VLME or violation of these Terms.

  1. Changes to Terms

We may update these Terms from time to time.

  1. Governing Law

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules.
