Applies To: All Velocity Learning Management Ecosystem (“VLME”) products, portals, APIs, copilots, and related services delivered by Jones Software Corporation (“JSC”).
- Acceptance of Terms
By accessing or using VLME, you agree to be bound by these Terms and all incorporated policies (including the Privacy Policy).
If you represent a school, district, or organization, you confirm that you are authorized to accept these Terms on its behalf.
- Eligibility and Accounts
- Authorized Users: Educators, students, institutional administrators, corporate clients, and partners.
- Accuracy: You must provide accurate registration information and keep it current.
- Account Security: You are responsible for safeguarding credentials and ensuring only authorized users access your account.
- Institutional Tenants: For education clients, JSC provisions tenant-level administration through Azure Active Directory.
- Use of the Service
Permitted:
Use VLME for learning, collaboration, analytics, and skill-building consistent with educational or organizational purposes.
Prohibited:
Reverse engineering, copying, or redistributing platform code; uploading unlawful or harmful content; interfering with system integrity; impersonation; or attempting to circumvent security.
Violation may result in suspension or termination without notice.
- Subscriptions and Payments
- Pricing and tiers are listed in your order form or AppSource plan.
- Unless otherwise agreed, subscriptions auto-renew annually and are billed per active user.
- Cancellations become effective at the end of the current billing cycle.
- Payments are processed via Microsoft Commerce, TD SYNNEX, or other approved resellers.
- Data Ownership and Confidentiality
- Customer Data: You retain ownership of all data uploaded to VLME.
- License to Operate: You grant JSC a limited license to process data solely to deliver and improve services.
- Confidentiality: Each party agrees to protect non-public information using industry-standard safeguards and not to disclose it without consent.
- Privacy and Security
Use of VLME is governed by our Privacy Policy.
JSC implements SOC 2 Type II and ISO 27001 controls, Azure AD authentication, encryption in transit and at rest, and incident-response procedures consistent with Microsoft Marketplace requirements.
- Intellectual Property
All VLME software, documentation, and designs are the intellectual property of Jones Software Corporation.
You may not reproduce, resell, or create derivative works except as expressly permitted by written agreement.
- FERPA and Educational Use
For school or district implementations:
- JSC acts as a “school official” under FERPA, using student data only to provide educational services.
- Schools maintain control of student-record access, correction, and deletion.
- Student data will not be used for advertising or profiling beyond educational purposes.
- AI and Automated Processing
VLME includes copilots and AI-driven personalization powered by Microsoft Fabric and Azure OpenAI.
- AI outputs are reviewed under human-in-the-loop principles.
- No automated decision produces legal or significant personal effects.
- Prompts/completions may be stored up to 12 months for model improvement.
- Third-Party Services and Integrations
VLME integrates with:
- Microsoft Azure / Fabric / Copilot / Azure OpenAI
- Intel Edge and Analytics Services
- Google Gemini API (optional)
- TD SYNNEX Hardware Support
Use of such services is governed by their respective terms. JSC is not liable for third-party failures beyond reasonable control.
- Termination and Suspension
JSC may suspend or terminate access for breach of these Terms, non-payment, or security risk.
Upon termination:
- Customer data will be available for export for 30 days.
- After 30 days, data will be deleted or anonymized per our Privacy Policy.
- Warranties and Disclaimers
VLME is provided “as is.”
JSC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted or error-free operation.
- Limitation of Liability
To the maximum extent permitted by law:
- JSC’s total liability shall not exceed the amount paid for the service in the prior 12 months.
- JSC is not liable for indirect, incidental, or consequential damages, including lost profits or data.
- Indemnification
You agree to defend, indemnify, and hold harmless Jones Software Corp., its officers, and affiliates against claims arising from:
(a) your use of VLME in violation of these Terms; or (b) your data or content uploaded to the platform.
- Changes to Terms
We may update these Terms to reflect service enhancements or legal changes.
Updated versions will be posted at https://www.j-softech.com/terms and effective upon posting or notification via email/in-app banner.
- Governing Law and Dispute Resolution
These Terms are governed by the laws of Illinois, USA, without regard to conflicts of law.
Any dispute shall be resolved through binding arbitration in Cook County, Illinois, under the American Arbitration Association (AAA) rules.
You waive the right to participate in class actions.

- Entire Agreement
These Terms, together with the Privacy Policy, Data Processing Addendum (if applicable), and any order form, constitute the entire agreement between you and JSC regarding use of VLME.
